IN THE EVENT CJS DISTRIBUTING LLC EXTENDS CREDIT TO THE APPLICANT AND BEFORE ANY INVENTORY WILL BE ADVANCED ON CREDIT, CJS DISTRIBUTING LLC MAY REQUIRE THE APPLICANT TO DO THE FOLLOWING: (1) EXECUTE A SECURITY AGREEMENT, (2) IF A CORPORATE ENTITY, PROVIDE THE SECRETARY'S CERTIFICATE OR CERTIFICATE OF AUTHORITY (OR EQUIVALENT), (3) IF A CORPORATE ENTITY, OBTAIN AND DELIVER CERTIFIED COPIES OF ARTICLES OF INCORPORATION, ARTICLES OF ORGANIZATION OR EQUIVALENT,(4) CONTINUING GUARANTY. CJS DISTRIBUTING LLC WILL REQUIRE THE APPLICANT AND ANY AND ALL GUARANTORS TO DO THE FOLLOWING: (1) PAY ALL INVOICES WHEN DUE, (2) PAY INTEREST AT THE RATE OF 1.5% PER MONTH (18% ANNUALLY) ON ANY UNPAID BALANCE, AND (3) PAY ALL COSTS OF COLLECTION, INCLUDING COURT COSTS AND ACTUAL ATTORNEY FEES INCURRED. FURTHER, BY SIGNING BELOW, BOTH THE APPLICANT AND ANY AND ALL GUARANTORS AGREE THAT ANY AND ALL DISPUTES RELATING TO THIS ACCOUNT SHALL BE GOVERNED BY THE LAWS OF THE STATE OF INDIANA, AND THE APPROPRIATE VENUE FOR ANY SUCH DISPUTE SHALL BE VANDERBURGH COUNTY, INDIANA. BY SIGNING THIS APPLICATION YOU ARE GIVING AUTHORIZATION TO CJS WILDLIFE, ITS SUBSIDIARIES, AND RELATED ENTITIES, TO CONTACT THE ABOVE REFERENCES AS WELL AS ANY CREDIT REPORTING SERVICES OR OTHER SOURCES IN DETERMINING WHETHER TO EXTEND CREDIT.
